Frequently Asked Questions

Investing with Energea

  • What am I actually buying when I invest?

You are not investing in Energea, you are buying stock in renewable energy infrastructure portfolios managed by Energea . When you invest in a portfolio you are buying equity shares in a Delaware based entity. This entity is solely designed to own renewable energy projects associated with the portfolio. As the projects become operational, they produce electricity, collect revenue, and pay operating expenses. Each month 100% of the remaining cash is sent back to the entity and distributed to the shareholders pro-rata. As investment managers, Energea will periodically use various financial tools to maximize returns while minimizing risk to our investors. Energea can add new projects to portfolios over time or sell existing projects if market conditions change. An investment today, entitles you to the future cash flows of all the active projects associated with the portfolio as well as any new projects Energea may add in the future.

  • What is the investment minimum?

    The minimum investment is $100.

  • How do I earn a return on my investment?

When you invest with Energea, you're purchasing equity shares in a handpicked portfolio of renewable energy projects. Here's a step-by-step guide to understanding the process: 1. Revenue Generation: Each cash flowing project within each portfolio generates electricity. This electricity production leads to a steady stream of monthly revenue, anchored by long-term power purchase agreements. 2. Expense Deduction: Before distributing any funds, the revenue is first allocated to cover the project's day-to-day operational expenses. 3. Dividend Distribution: After covering all expenses, the remaining revenue is distributed to investors. The amount you receive is proportional to your ownership stake in the portfolio. 4. Liquidity & Share Pricing: Regular Dividends: Beyond these dividends, after a mandatory three-year holding period, investors have the option to sell their shares. Early Exit: We recognize that unforeseen circumstances can arise. Although there's a three-year hold to ensure stable cash flow during project construction, we offer an early exit option. Investors wishing to withdraw before the hold period ends can do so at a 5% discount to the prevailing share price. Platform Availability: Shares can be sold on our platform, following a first-come, first-served approach. Dynamic Share Pricing: Share prices are adjusted daily to ensure every investor gets a fair return, irrespective of their investment timing. Typically: During construction phases, share prices may rise due to lower dividends. Over extended durations, as the number of future dividend payouts decreases, share prices will generally trend downward. • Can I buy Energea stock?

No, Energea does not offer traditional stock. Instead, we provide investment opportunities through Regulation A and Regulation D offerings, allowing you to invest directly in renewable energy infrastructure investment portfolios. What Can I Invest In? You can invest in portfolios of real, revenue-generating renewable energy projects that invest in energy infrastructure projects, debt financing opportunities and other cash management strategies, gaining direct ownership and benefiting from predictable cash flows. How Is This Different from Buying Stock? Unlike stocks, which represent ownership in a company, our investments offer equity in specific renewable energy infrastructure projects, debt financing opportunities and other cash management strategies. For more information please read this more detailed article .

  • Who can invest with Energea?

Energea accepts investments from both accredited and non-accredited individuals as long as they have a U.S. issued social security number and reside in the United States. Energea also accepts investments from businesses and trusts, as long as the business/trust account admin has a valid U.S. issued social security number and a physical address in the United States. Business structures that we support include : sole proprietorships, unincorporated associations, trusts, corporations, non-profits, LLCs, partnerships, LP's and LLP's.

  • How often does Energea pay dividends?

Energea pays dividends on a monthly basis. The payment is made within the last 10 days of each month for each corresponding investment.

  • How are my returns calculated?

Energea uses the internal rate of return (IRR) to calculate investor returns. IRR is a metric commonly used for cash-flowing investments, as it factors in monthly cash dividends, changes in share price, and the timing of your investments. It is expressed as an annualized figure, meaning the return rate is translated to a yearly basis. You can download your full account activity—which shows how we calculate IRR—from your dashboard by clicking the “Download Your Account Activity” link, located directly above the “Portfolio Breakdown” section. Your total IRR is composed of both monthly cash dividends and any increase or decrease in the value of your shares. In the early stages of your investment, you will generally see share-price appreciation as funds are deployed into projects under development or construction. As these projects become operational and begin generating revenue, a larger portion of your total IRR will come from monthly dividends. Eventually, the share price may decline since solar projects are depreciating assets. For more information on how your return is calculated please take a moment to review the following article: https://www.energea.com/liquidity/

  • How do you determine a share price?

To determine a portfolio's share price, we employ a goal-seeking method that satisfies the equation: rIRR = pIRR Here's a breakdown: rIRR stands for Realized IRR of all portfolio investors. pIRR represents the Projected lifetime IRR of a new $1 investment at the given share price, denoted as “x”. For the rIRR computation: We utilize all the existing cashflow events associated with the portfolio to date, which includes investments, dividends, and the sale of shares. We also factor in an additional sell event, accounting for all currently held shares at the share price “x”. This additional event is essential as it captures the net present value of all shares still held. For the pIRR computation: We first ascertain the equity percentage that a $1 investment would command at share price “x”, under the assumption that all outstanding shares are bought right away. This represents a conservative approach, portraying the worst-case dilution scenario for this $1 investment. It's vital to note that the total number of shares used in this computation isn’t static. The formula for calculating the "total number of shares" is given by: “total remaining capital needed to meet portfolio costs” divided by “share price x”. Afterward, we calculate the IRR based on all projected future cashflows (after deducting fees) that this $1 equity position would be entitled to, as per the projected distributions in our financial model. For more information on how we calculate the share price please read the following article: https://www.energea.com/understanding-energea-returns

  • What is an "accredited" investor?

An “accredited” investor is an individual or entity that meets certain financial criteria set by the U.S. Securities and Exchange Commission (SEC). These criteria are used to identify investors who may be better able to bear the economic risks that come with certain types of investments. Typically, you are considered an accredited investor if you meet at least one of the following criteria: Income: Earned income that exceeded $200,000 (or $300,000 together with a spouse or spousal equivalent) in each of the prior two years, and you reasonably expect to reach the same income level in the current year. Net Worth: Have a net worth over $1 million (either alone or with a spouse or spousal equivalent), not including the value of your primary residence. Professional Licenses or Certifications: Hold certain professional certifications or licenses (e.g., Series 7, Series 65, or Series 82). We are required to collect this information because: Regulation A+ Tier 2 offerings permit companies to raise capital from both accredited and unaccredited investors, but they also come with specific legal and disclosure requirements. In order to comply with securities regulations, we must verify (or have a reasonable basis to believe) which investors meet accredited standards. Regulators want to ensure that individuals who may not meet the financial criteria set forth for accredited investors understand their potential risks and limitations before investing. Limitations for Unaccredited Investors in Regulation A+ Tier 2 Under Regulation A+ Tier 2, unaccredited (non-accredited) investors can still invest; however, their investment is limited to no more than 10% of the greater of their annual income or net worth over a 12-month period. This limitation is designed to protect less financially sophisticated or lower net-worth investors from taking on undue risk. If you have any further questions about accreditation status or how much you can invest, please consult with a qualified financial adviser or attorney to understand the details of your specific situation.

  • Why do I have an investment limit?

Energea uses SEC Regulation D 506(b) and Regulation A+ to offer stock to our investors. Both regulations allow non-accredited investors to participate. We believe that EVERYONE should have access to renewable energy investing, which is why we chose this structure. However, in order to protect unaccredited investors from investing cash they may need, the SEC limits non-accredited investors to the higher of a) 10% of their net worth, or b) 10% of their annual income. While our standard minimum investment amount is $100, some funds may have different minimums.

  • How are fees assessed and deducted?

Energea charges a 1.5% annual management fee, paid monthly. It also takes 15% of returns above a 7% annual preferred return to investors, with a catch-up provision that lets the GP fully recover its share once the preferred is met, and a high-water mark so it can't collect twice on the same gains If no dividend is disbursed in a specific month, we abstain from charging any fees for that period. Please note that all returns mentioned on the Energea platform, whether realized or projected, are already inclusive of all fees. For detailed information on fee schedules pertaining to any particular investment, refer to the investment's Offering Circular.

  • Are Energea Investments Registered with the SEC?

Energea investments are not registered with the SEC in the traditional sense but are qualified under Regulation A+ Tier 2 and Regulation D. The qualification process offers a significant level of protection and transparency for investors, similar to registered offerings. To learn more about what this means and why it matters for your investment, read our detailed blog post here .

  • When do I get my first dividend?

Once your investment transfer is successfully processed, you will be immediately eligible to receive monthly dividends. These dividends are paid within the last 10 days of each month, corresponding to each investment. Should your investment occur after the dividend payout for a given month, expect your first dividend in the subsequent month. It's important to note that while eligibility for dividends is immediate, there's a mandatory 60-day hold period on withdrawing dividends. This policy is a response to the ACH network's rules, which allow for the disputing of transfers up to 60 days. This hold period is designed to safeguard both our investors and ourselves against potential disputes regarding the initial investment following dividend receipt.

  • What regulations enable this investment structure?

Our investment structure operates under both Regulation D and Regulation A+ (Reg. A+) frameworks, which are exemptions from registration for public offerings. This allows private companies like Energea to raise up to $75 million from the public each year. Unlike traditional offerings that are limited to accredited investors, Reg. A+ enables companies to extend share offerings to the general public. In compliance with Reg. A+, Energea prepares an Offering Circular, which is thoroughly reviewed and approved by the Securities and Exchange Commission (SEC) prior to any public offering. This critical document, available in the "Documents" section under each "Investment" on the Energea Platform, ensures our adherence to Reg. A+ stipulations. Beyond the Offering Circular, Energea also fulfills additional filing requirements and regulatory standards set by the SEC, maintaining transparency and protecting investor interests. These comprehensive measures affirm our commitment to regulatory compliance and enable broader public participation in our renewable energy investment opportunities.

Understanding Renewable Energy Investing

  • How do renewable energy projects make money?

Renewable energy projects cost a lot to construct, but very little to operate. We pool together investments to build each project then collect revenue for years to come as the projects produce electricity, which is sold under long-term contracts. Renewable energy plants don't have fuel costs, so their biggest operating expenses are rent paid to the owner of the land, technical maintenance, debt service (if applicable), taxes and administration. It's like buying a hotel - only every room is rented for 20 years before breaking ground on construction.

  • How do I get my money out?

When you invest with Energea, you are purchasing a stake in renewable energy power plants, which is akin to acquiring a share of real estate. These investments inherently make your principal less liquid. Before deciding on the amount to invest with Energea, consider this illiquidity and ensure you have other, more liquid investments in your portfolio. The primary way to access your funds is through the monthly dividends. These dividends can be withdrawn at any time, starting from the first month after your investment. The main goal of investing with Energea should be to secure long-term, inflation-adjusted passive income from these renewable energy projects. Investors are required to hold their shares for a minimum of three years. Each new principal investment begins its own three-year holding period. Re-invested dividends do not start their own three-year holding period however, you must wait three years from the date of your first investment to withdrawal re-invested dividends without penalty. Investors that wish to sell shares prior to the end of this three-year period can do so by paying a 5% early exit penalty. After this period, if an investor wishes to sell their shares, the issuer may repurchase them in accordance with the terms outlined in the Reg D Private Placement Memorandum or Reg A Offering Circular for each investment. This repurchase is subject to the condition that it does not negatively impact the returns of other investors. Investors can sell shares at anytime after being invested on the platform for 60 days. After 60 days, you can sell shares directly from your dashboard under the "Portfolio Breakdown" section by clicking on the sell button. Historically, the average time for sell orders to be executed on the Energea platform has been between 10-12 days. For more information on liquidity and selling shares please review the following article .

  • Why does the share price drop after a dividend payment and change throughout the month?

Our methodology for determining a share price is based on the net present value (NPV) of future cash flows—sometimes referred to as a net-asset-value approach. In practice, this means the share price reflects the projected future cash flows of the portfolio, discounted back to today’s dollars using the portfolio’s current IRR. This approach is a standard and widely used method in private markets, designed specifically to ensure fairness across investors by tying share value strictly to projected cash flows, not speculation. O ur monthly returns are always the combination of share price changes (appreciation or depreciation) plus the dividends you receive. Immediately following a dividend payment the share price will drop slightly to adjust for the recent cash distribution. Shares purchased right before a distribution carry more projected cash flow than shares purchased immediately after. When dividends are reinvested, they are applied at the lower post-dividend share price, which maintains consistency and fairness.

  • Can you define the various project stages listed under each portfolio?

We use a few different stages to define what where a project is in its lifespan. A project that is Under Development is owned by the portfolio but construction has not yet begun. Construction indicates that our partners have broken ground and begun to build the project. Cash Flowing indicates the project is mechanically complete AND we have begun to receive revenue from the sale of the electricity.

Energea General Information

  • Where is Energea based out of?

Energea is based in the United States, specifically in Chester, Connecticut. As a dynamic and global investment platform, while our headquarters are located in the U.S., we are actively engaged in managing investments across various regions, including Latin America and Africa. Our international presence allows us to diversify our portfolio and offer unique investment opportunities in the energy infrastructure sector to our clients worldwide.

  • When was Energea founded?

Energea Global LLC was established in 2017, initially serving as a research and development entity for our founders, Mike Silvestrini and Chris Sattler, to explore and invest in renewable energy assets in emerging markets. The transition to a broader scope culminated in the launch of our online investing platform, energea.com , in June 2020. This significant milestone marks the year we consider the official beginning of Energea as it is known today, expanding our mission to facilitate global investment in private markets, specifically, renewable energy infrastructure projects.

  • Who owns Energea?

Energea was founded by Mike Silvestrini and Chris Sattler. Initial funding for the company came from both the founders and board members. To date, the company is primarily owned by past and present Energea employees and board members. Energea is also proud to remain completely debt-free. In late 2024, Energea raised approximately $3M from a select group of accredited Energea investors through a Regulation D offering. In the spirit of democratizing renewable energy infrastructure investing, we were proud to offer an ownership opportunity in our business to our community of investors.

Due Diligence

  • What documents are available to me to review?

Energea strives to be as transparent as possible with all investors and there are no documents that are withheld from an investor's due diligence review. The Offering Circular is an in-depth analysis of the risks and opportunities of each portfolio and should be read "cover to cover" by all investors. Once investors fully understand the terms and conditions of the investment itself, further due diligence should be done on the projects that comprise the portfolio. Each project is summarized in a Project Memo in the Investment Documents section of each portfolio. Project videos are designed to help investors visualize what the projects look like, where they are and how they work.

  • How do I request additional documents?

All material information about the Company, the offering, and our projects is included in our Offering Circular and in our ongoing SEC filings, all of which are available on the SEC’s website and on the Platform. In order to promote fair and equal access to information, Energea does not provide non-public, project-specific documents (such as individual customer contracts, engineering, procurement and construction contracts, or operations and maintenance contracts) to individual investors or prospective investors, and we do not engage in bilateral information sharing outside of our publicly available disclosures. If you believe that an important topic is not addressed in the Offering Circular or our existing public disclosures, you may submit your question to us via the Platform chat or by emailing [email protected] . Questions of general interest may be addressed in our quarterly investor webinars or, when appropriate, through supplemental public SEC filings (such as a Form 1-U or an amendment to our Offering Circular, including any related Form 253-G), so that all investors and prospective investors receive the same information at the same time.

Taxes

  • When and where do I get my annual tax documents?

Tax documents will be posted to each user's Tax Center by Jan. 31st each year.

  • Do I have to file taxes if I didn't receive a form 1099 for the tax year?

According to IRS guidelines, you do not need to file taxes on distributions if your total distributions for the year are under $10. IRA investors are also not required to file taxes unless they withdraw from their account, in which case the IRA custodian will provide the necessary tax documentation. Additionally, corporations are exempt from receiving Form 1099s, as they are already subject to stringent state and federal reporting requirements. We do not provide 1099-DIVs to investors who qualify for any of the above exemptions. You can find all your tax documents by logging in and visiting the Tax Center .

  • Why isn't there a box "1-d Proceeds" on my 1099-B?

If there isn't a box "1-d Proceeds" on your 1099-B, then the value for that box is 0. This can happen when a portfolio has closed down and investors need to file a capital loss for the remaining basis they have in the portfolio. The portfolio books these as repurchasing of your shares for $0, so the entire value of box "1e Cost or other basis" can be considered a capital loss.

  • Why didn't I receive tax documents for some of my investments?

Some investors are exempt from 1099s and will not receive tax documents. If you are investing with an IRA, as a corporation, or have received less than $10 in distributions in a portfolio for the tax year, you will be exempt from receiving a 1099.

  • Do I have to file Energea investments on my taxes?

If you owned any equity in an Energea investment during the course of the tax year, then YES. This includes investments made in previous years as you still hold those equities. We will email every investor who needs to file taxes a link where they can retrieve their tax documents by January 31st each year. Some investors are exempt from filing with the IRS, and we do not send 1099s to these investors. Please note that we count the date of an investment as the date that your funds successfully transferred for an investment. This means that investments on the last few days of the year may apply to the following tax year.

  • What tax documents do I get at the end of the year?

You will receive a single 1099-DIV for each portfolio in which you own equity and received distributions during the tax year. If you were to sell any shares during a particular tax year you would also receive a form 1099-B to reflect the capital gain or loss on the shares sold.

  • Why is the dividend distribution reported in my 1099-DIV different than the dividends I received this year?

When a portfolio closes its books each year, it posts a profit/loss for that tax year. In accordance with the IRS, taxable dividends can only result from profit/loss of an "LP treated as a corporation" which is how the portfolios are classified. When the portfolio's profit/loss for the year is less than the total distributions (which is often the case), the remaining distributions get filed in Box 3 of your 1099-DIV as non-dividend distributions. These distributions are non-taxable and are filed as a return of capital (subtracted from your basis). When you sell your shares, or are bought out at the end of a portfolio's lifespan, your basis is what is used to determine the capital gains or losses realized by the sale of your shares. Example: Investor A buys 100 shares for $100, receives $10 as dividend distributions, $10 as non-dividend distributions, and then sells their position for $100 all within 1 tax year. Their basis lowers to $90 as a result of the non-dividend distributions, and so they realize a $10 capital gain when they sell their $90 of basis for $100. This investor would pay dividend distribution taxes on $10 and capital gains taxes on $10 for that tax year.

Investing in Foreign Countries

  • What international business standards does Energea abide by?

Energea respects and closely adheres to the Foreign Corrupt Practices Act of 1977, and the Performance Standards on Environmental and Social Sustainability published by the International Finance Corporation ("IFC"), the commercial division of the World Bank. Energea refuses to participate in any project that is not developed, constructed and operated according to these standards without exception.

  • How do we pay taxes in foreign countries?

Each Delaware Issuer entity owns one or multiple Single Purpose Entities ("SPE"). Each SPE owns a single renewable energy project. The SPE is also based in the country in which the project resides. They all operate under a General Partner (GP), Limited Partner (LP) structure and all pay the taxes levied on the project in their respective country. Prior to distributions being made to investors, all foreign taxes have been paid and, if there is a trade agreement in place between the project's country and the U.S., you may get tax credits or depreciation benefits as a result of the tax policy in the foreign country. The final tax impact of foreign taxes paid will be described in your 1099-DIV, delivered in February of each year.

Yes. When you make an investment, you will be prompted with the ability to automatically reinvest your dividends. You can also turn this on or off for each of your investments in your dashboard. The first time you turn it on, you will need to sign an auto-reinvestment agreement and from then on you can toggle it on and off. Auto-reinvesting will automatically purchase new equity upon receiving dividends. Dividends will only be invested into the portfolio that generated them.

  • How do I get in touch with an Energea renewable energy professional?

  • What happens after I place my shares for sale?

The process of selling shares through Energea typically takes 10–12 days , though it may take longer depending on the size of the sales queue. Throughout the process, you’ll receive email updates so you always know where you stand. You’ll get an email when your sell order is received, another once your shares have sold, and a final email when the funds are available in your Energea wallet for withdrawal.

Due to security reasons, our IRA custodian, Inspira Financial (formerly Millennium Trust), does not share full IRA account numbers with Energea. To obtain your IRA account number, please log in to your Inspira Financial account or contact them directly at (800) 618‑6177 .

Advisors

  • How do I become an approved advisor on Energea?

To unlock advisor-managed client workflows, complete the following steps: Complete your advisor profile and provide your valid RIA CRD and/or IAR CRD. Submit your compliance information and acknowledge the advisor terms. Complete identity verification so your account can use transaction features. Wait for compliance review and approval. Once approved, your advisor permissions are enabled based on your approved scope.

  • How can I verify an RIA or IAR CRD number?

You can confirm your registration details using these regulatory sources: SEC IAPD for investment adviser firms and adviser representatives. FINRA BrokerCheck for disciplinary and licensing history. State Regulator Directory (NASAA) for state-specific registration confirmation. If your records are inconsistent across systems, contact [email protected] and we can help you resolve it.

  • What do the advisor permission settings mean?

Once approved, advisor permissions control what actions you can take for linked clients: Can Manage Clients : lets you use advisor-managed account workflows for invited clients. Can Trade For Clients : lets you place investments for authorized client accounts. Can Withdraw For Clients : lets you initiate eligible withdrawal/redemption flows for authorized client accounts. Your available permissions are based on your approved compliance scope.

  • Can advisors invest in their own account while compliance review is pending?

Yes. Pending advisor approval only limits delegated client-management capabilities. It does not block standard investing access for your own account. You can continue onboarding and investing personally while review is in progress.

  • How does client authorization work for advisor-managed accounts?

Client authorization is explicit and required, and the client always remains the account owner of record. You send an invitation to your client. Your client accepts the invitation and legal terms. Your access is enabled according to your approved permission level. You should not take actions on a client account until authorization is active.

  • What should I do if an advisor registration cannot be verified?

If your registration cannot be verified, check that your legal name, firm details, and CRD number(s) match regulator records exactly. After updating any mismatches, contact [email protected] so we can re-review your profile. Advisor permissions stay unavailable until verification is complete.

Liquidity

  • When can I request to sell my Energea shares?

Under the standard Redemption Plan, purchased shares must complete a 60-day mandatory holding period , measured from settlement, before you can request a sale. From that point until the three-year holding period ends, an early exit request generally carries a 5% discount. The platform determines eligibility from the holding-period dates recorded for your investments. Sign in to view Your liquidity and check the dates for each group of shares. An additional purchase does not reset the holding period for shares you already own.

  • What does “fully vested” mean, and does it guarantee an immediate sale?

Fully vested means the standard three-year holding period has ended and those shares are eligible for a sale request without the early exit discount. If your account has an early exit discount waiver, the widget also includes otherwise eligible shares covered by that waiver in the no-discount amount. Eligibility is not a guarantee of an immediate sale. A request remains subject to available liquidity, applicable limits and the issuer's Redemption Plan. Shares already listed for sale are included in your market value until they are sold, but cannot be included in a second request.

  • How does the 5% early exit discount work?

The standard early exit discount is 5% of the applicable share value for a request made after the 60-day hold but before the three-year holding period ends. For example, $10,000 of share value would produce an estimated $9,500 before other applicable pricing adjustments. The platform applies early exit treatment to the request as a whole . Review the sale option and estimated proceeds before submitting; do not assume that mature shares included in an early exit request will be priced separately without the discount. A queued early exit request does not automatically become a no-discount request when the shares later reach three years. An account-specific waiver removes the early exit discount where applicable. It does not remove the 60-day hold, restricted bonus-share rules or liquidity limits.

  • How do additional purchases and reinvested dividends affect my holding periods?

Each additional cash investment has its own holding period. This includes one-time purchases and recurring Auto-Invest purchases. Earlier investments retain their original eligibility dates, so different portions of your account may become eligible at different times. Reinvested dividends are handled differently by the platform: they inherit the holding-period date of the oldest qualifying non-dividend investment in the same account, portfolio and share class. They do not normally start a new three-year clock of their own. The vesting schedule and the Sell Eligibility tab in Download Account Activity use this same grouping logic. A sale request covers the shares included when you submit it; later purchases, reinvestments or bonus awards are not automatically added.

  • Where can I see my personal liquidity and vesting schedule?

Sign in and visit the Liquidity page . The Your liquidity widget shows your current share market value across your accounts and separates it into the 60-day hold, early exit and no-discount categories. Restricted bonus shares appear separately when applicable. The Your vesting schedule chart shows the total value eligible without an early exit discount today and how that amount increases through your remaining eligibility dates, using today’s share prices throughout. The dotted line shows your current market value. This is an illustration of timing, not a forecast of future values. You can also use Download Account Activity from your dashboard and open the spreadsheet's Sell Eligibility tab. The widget includes listed but unsold shares and identifies their listed value. The spreadsheet's eligibility timeline focuses on shares not already allocated to sale requests. Dollar values use current share prices, exclude wallet cash and are not guaranteed sale proceeds.

  • Why do referral and promotional bonus shares have different sale restrictions?

Referral and promotional bonus shares have a separate three-year sale restriction tied to their own recorded award investment date. They are not eligible for the standard early exit option after 60 days, even when your purchased shares are. The liquidity widget shows these shares separately as Restricted bonus shares until their restriction ends. An ordinary early exit discount waiver does not remove this bonus-share restriction. Bonus shares awarded after you submit a sale request are not automatically included in that request. Check their eligibility dates before including them in a future request.

  • Which shares are sold first when I request a sale?

The platform allocates sale requests against your oldest eligible holdings first , within the selected account, portfolio and share class. This first-in, first-out approach is reflected in the remaining shares shown in your vesting schedule; you cannot select a newer purchase simply to preserve an older eligible holding. This is different from the order in which requests are fulfilled. Standard requests use the platform's queue priorities and request dates, while early exit requests follow a separate process. The age of your shares therefore does not guarantee that your request will complete before another investor's request.

  • How much can I request to sell at one time?

The standard Redemption Plan permits one outstanding redemption request at a time, up to $50,000 of shares per request . The sale flow shows the limit currently available for your selected portfolio and share class. Existing open requests can reduce that availability. The platform accounts for amounts already sold under open requests and the current value of their unsold shares, including requests across your accounts in that portfolio and share class. Opening another account does not create a separate $50,000 allowance. Your liquidity widget shows the market value of your holdings before request caps. A larger eligible balance does not mean you can request that entire balance at once. Review the limit shown in the sale flow and the Offering Circular for your portfolio.

  • How is my redemption price calculated?

Your sale proceeds are based on the share-class price in effect when your shares are sold . Submitting a sale request does not lock in a price. If your request is filled in stages, each sale uses the price in effect at that time. If the 5% early exit discount applies, you receive 95% of the current share price for each share sold. Otherwise, you receive the full current share price. Your proceeds are the number of shares sold multiplied by the applicable per-share sale price. Listed but unsold shares remain eligible for dividends under the normal distribution rules while you wait for a sale. Dividends paid during that waiting period are not separately deducted from your sale proceeds. The market value and estimated proceeds shown on the platform use current share prices. Share prices can change before your shares are sold, so an estimate is not a guaranteed payout. Contact Energea support if you have questions about your request.

  • How long does it take to receive my sale proceeds?

There is no guaranteed completion date for every submitted request. The historical average on this page describes completed sales, not a commitment for your request. Requests may be filled in stages. If the issuer agrees to honor a redemption request, the standard Redemption Plan provides for payment within 90 days . That provision does not guarantee acceptance or fulfillment of every request. For wallet-based accounts, proceeds become available through the Energea wallet after the sale and related payment processing complete. Withdrawing available wallet cash to your bank is a separate step. For an IRA or other custodial account, proceeds must follow the applicable account and custodian process.

  • Can I cancel or change a redemption request?

The Redemption Plan allows a request to be withdrawn before payment; changing the requested amount requires withdrawing the original request. On the platform, self-service cancellation is available only before the request has any matched share transfers . Once matching or processing begins, including a partial fill, the platform does not permit you to cancel it yourself. Use the cancellation option in your account while it is available. Otherwise, contact Energea support promptly to request withdrawal of the unpaid portion or discuss a change. Cancelling a request does not reverse a sale that has already completed.

  • What happens if liquidity is insufficient or the Redemption Plan is suspended?

Redemption is not guaranteed. The standard plan generally targets a quarterly cap of 5% of the NAV of outstanding Class A Investor Shares on the preceding quarter’s last business day, with unused capacity carried within the year, subject to an annual cap of 20% of the NAV of outstanding Class A Investor Shares. Unfulfilled requests generally carry into the next quarter without resubmission. The General Partner may reject requests or amend, suspend or terminate the plan without advance notice. Suspension may result in outstanding requests being rejected. Available liquidity, request priorities and portfolio funding needs can affect timing. Review your portfolio's Offering Circular and subsequent notices for the applicable terms.

  • What tax or IRA considerations should I understand before selling?

Selling shares may have tax consequences. In a taxable account, a sale can produce a gain or loss; tax treatment depends on your adjusted tax basis and the investment structure. Sales of partnership interests can also include amounts treated as ordinary income. The market value or cost basis displayed in your account is not a substitute for a tax-basis calculation. Selling an investment inside an IRA is different from taking a distribution out of the IRA. Proceeds must remain within the applicable IRA or custodian process unless you arrange an authorized distribution. IRA-specific tax rules may apply. Consult your tax professional and, for an IRA, your custodian before submitting a request. Energea does not provide individualized tax advice. See the IRS guidance on partnership interests and traditional IRAs .
